State Customer Addendum

If you are a state entity or qualified non-state entity, such as a local, municipal, or tribal government, public college or university, public hospital, or any other political subdivision of a state, the Terms of Service (the “Terms”) applicable to your Service Orders with us are modified as expressly set forth herein.
- Capitalized terms used but not otherwise defined in this State Customer Addendum have the respective meanings ascribed to such terms in the Terms.
- Your performance under this Agreement may be dependent upon the appropriation and allotment of funds by the applicable state legislature. If the applicable state legislature fails to appropriate or allot necessary funds, you must issue written notice to us and may terminate this Agreement.
- If you are exempt from the payment of any applicable taxes, you will provide us with a valid tax exemption certificate.
- Section 4.2 (Late Payments) of the Terms is deleted in its entirety and the following is substituted in its place: “Late Payments. Notwithstanding our right set forth in Section 4.1 to automatically charge for the payment of Fees, we may invoice you for any Fees, and you shall pay such invoice within fifteen (15) days of receipt thereof via money transfer, ACH, check or any other payment method we may deem acceptable in our sole discretion. If payment is not made on the respective due date, we may, at our discretion and in addition to other remedies available, suspend your access to the Services.”
- Section 10 (Indemnification) of the Terms is deleted in its entirety and the following is substituted in its place:
“10. RESERVED.” - If required by applicable law, references to “Texas” in Section 16.9 of the Terms shall be deemed deleted and the state of your formation shall be substituted in its place.
- The terms and provisions of this State Customer Addendum shall amend and supersede the Terms solely to the extent set forth herein. The Terms, as modified by the State Customer Addendum, apply to all Service Orders you enter into with us.
